Welcome to ArthaVerse (“ArthaVerse,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of arthaverse.com, its sub-domains, and any related mobile or web services (collectively, the “Platform”). By creating an account, browsing listings, or otherwise using the Platform, you agree to be bound by these Terms. If you do not accept them, do not use ArthaVerse.

1. The ArthaVerse Mission

We provide a curated, values-driven marketplace where companies, professionals, and investors connect, list offerings, and build trusted relationships. ArthaVerse verifies businesses to reduce noise, but we do not own, supply, or guarantee any products or services listed by our users.

2. Eligibility

  • You must be at least 18 years old and able to form a legally binding contract.
  • If you use ArthaVerse on behalf of a company or organization, you confirm you’re authorised to bind that entity.
  • You represent that all information you provide is accurate and kept up to date.

3. Your Account

  • Security: Keep your login credentials confidential. You are responsible for all activity that occurs under your account.
  • Profile Data: Anything you upload—text, images, documents—must be true, lawful, and not violate others’ rights.
  • Verification: We run a two-stage verification. Supplying false or misleading documents is grounds for immediate suspension.

4. Listings & Content

Your Responsibilities

  • Ensure listings are clear, accurate, and legal in every jurisdiction you target.
  • Do not post content that is defamatory, obscene, hateful, or infringes intellectual property.
  • Maintain any licenses, certifications, or permits required to offer your products or services.

Our License

  • You grant ArthaVerse a non-exclusive, worldwide, royalty-free license to host, display, and distribute your content for the purpose of operating and promoting the Platform.
  • We may translate or adapt content for SEO or accessibility without altering its substance.

5. Marketplace Role

  • Neutral venue: ArthaVerse facilitates discovery and communication. We are not a party to contracts between users.
  • No guarantees: Verification reduces risk but does not eliminate it. Perform your own due diligence before transacting.
  • Disputes: Buyers and sellers must resolve disputes directly. We may, at our discretion, offer informal guidance but have no obligation to mediate or reimburse losses.

6. Fees & Payments

  • Creating a basic account is free.
  • Premium features, listing upgrades, or transaction commissions may carry fees, disclosed before you commit.
  • You authorise us (and our payment processors) to charge your chosen payment method for all applicable fees.
  • Fees are non-refundable unless otherwise required by law.

7. Prohibited Conduct

You agree not to:

  1. Break any law or third-party right.
  2. Upload viruses, malware, or any code that harms or disrupts ArthaVerse.
  3. Harvest data or scrape the Platform without written permission.
  4. Impersonate another person or misrepresent your affiliation.
  5. Circumvent fees, verification, or security features.
  6. Use ArthaVerse for high-risk activities such as money-laundering, extremist fundraising, or illegal trade.

Violation may lead to suspension, removal of content, and legal action.

8. Intellectual Property

  • Ours: The ArthaVerse name, logo, and Platform software are our property. You may not copy, modify, or distribute them without written consent.
  • Yours/Third-Party: Respect copyrights, trademarks, and trade secrets. If you believe content infringes your rights, notify us at legal@arthaverse.com.

9. Privacy

Your use of ArthaVerse is also governed by our Privacy Policy. By using the Platform, you consent to our data practices.

10. Disclaimers

  • The Platform is provided “as is” and “as available.”
  • We make no warranties—express or implied—regarding accuracy, reliability, merchantability, fitness for a particular purpose, or non-infringement.
  • We do not guarantee uninterrupted or error-free service.

11. Limitation of Liability

To the maximum extent permitted by law:

  • ArthaVerse shall not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill arising out of or in connection with the Platform.
  • Our aggregate liability for any claim related to the Platform will not exceed the greater of (a) INR 10,000 or (b) the total fees you paid to us in the 12 months prior to the claim.

Some jurisdictions don’t allow certain exclusions, so parts of this section may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless ArthaVerse, its directors, employees, and affiliates from any claim or demand (including reasonable legal fees) arising out of your:

  • use of or access to the Platform,
  • violation of these Terms,
  • infringement of any third-party right, or
  • breach of applicable law.

13. Termination

  • By you: You may delete your account at any time.
  • By us: We may suspend or terminate your account immediately for violation of these Terms, suspected fraud, or to protect the Platform or its users.
  • Effect: Sections that by nature should survive (e.g., intellectual-property license, disclaimers, limitations of liability, indemnification) will continue to apply.

14. Governing Law & Dispute Resolution

  • Law: These Terms are governed by the laws of India, without regard to conflict-of-law principles.
  • Forum: Courts in Bengaluru, Karnataka have exclusive jurisdiction.
  • Alternative Dispute Resolution: Before litigating, we both agree to attempt an informal resolution in good faith. If that fails, either party may require binding arbitration under the Arbitration and Conciliation Act, 1996, seated in Bengaluru, conducted in English.

15. Changes to the Terms

We may update these Terms periodically. If changes are material, we’ll notify you via e-mail or an in-app banner. Continued use of the Platform after changes take effect constitutes acceptance.

16. Miscellaneous

  • Entire Agreement: These Terms, plus any policies referenced herein, make up the entire agreement between you and ArthaVerse.
  • Severability: If any provision is unenforceable, the rest remain in effect.
  • No Waiver: Failure to enforce any provision is not a waiver of our right to do so later.
  • Assignment: You may not assign your rights or obligations under these Terms without our written consent. We may transfer our rights at our discretion.
